Terms of Service

1. Acceptance of Terms

By using K2CommercialFinance.com or any K2 service, you agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms that apply to specific products or programs. If you are using the platform on behalf of a company or entity, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility and Permitted Use

You must be at least 18 years old and legally able to enter into contracts to use the platform. You agree to use it only for lawful purposes and in compliance with all applicable laws.

You are strictly prohibited from:

• sharing, distributing, selling, sublicensing, transmitting, or making available any K2 content, materials, templates, or the K2 Lender-Ready Workbook to any third party, including clients, colleagues, competitors, or business associates;
• using any K2 materials to provide commercial services, consulting, loan packaging assistance, or any other services to others;
• attempting to gain unauthorized access to accounts or systems;
• interfering with the security or operation of the platform;
• reverse engineering, scraping, or copying any part of the platform except as expressly allowed.

3. Educational & Informational Purpose Only

K2 Commercial Finance is an educational and informational platform designed to help you organize your financing materials and become more lender-ready.

Important: Unless we have a separate written agreement with you, K2 does not:

• provide legal, tax, accounting, or investment advice;
• guarantee any financing approval, terms, responses, or closing;
• act as a lender or licensed mortgage broker, except where separately contracted.

All templates, tools, content, and guidance are for general informational purposes only. You are solely responsible for consulting your own qualified professionals.

4. No Guarantees of Results

Your use of the K2 Lender-Ready System, Certified Borrower Program, or any other K2 service does not guarantee lender interest, term sheets, approvals, specific terms, successful negotiations, closings, or any particular outcome.

5. User Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any suspected unauthorized access.

6. Deal Rooms & Document Uploads

Deal Rooms and document storage are provided for your convenience. You upload documents at your own risk. We recommend redacting highly sensitive personal or financial information before uploading.

7. Your Responsibility for Uploaded Content

You warrant that you own or have the legal right to upload all content and that it does not violate any laws or third-party rights.

8. Privacy

Your use of the platform is also governed by our Privacy Policy.

9. Third-Party Services

We are not responsible for third-party services or websites linked from the platform.

10. Payments & Refunds

14-Day Ready or Refund Guarantee

We offer a 14-day "Ready or Refund" guarantee on the K2 Lender-Ready System. Contact us within 14 days if you do not feel significantly more organized and confident.

Subscriptions and custom programs may have separate refund policies. Previously paid fees are generally non-refundable.

11. Intellectual Property (Strong Protection)

All content, materials, templates, frameworks, tools, and resources provided by K2, including the K2 Lender-Ready Workbook, Document Library, email templates, Prep Coach guidance, and related materials, are the exclusive property of K2 Commercial Finance and protected by copyright and intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use these materials solely for your own personal or internal business financing preparation.

You have no right to:

• copy, reproduce, modify, distribute, share, sell, or provide access to any K2 materials to any third party;
• use K2 materials for any commercial service or competing business;
• remove or alter any copyright or proprietary notices.

Unauthorized distribution or sharing of the K2 Lender-Ready Workbook or any other K2 materials is strictly prohibited and constitutes a material breach of these Terms. In such cases, K2 may immediately terminate your access, pursue legal remedies, including damages, injunctive relief, and attorney fees, and report the violation.

All delivered workbooks are personalized and watermarked for traceability.

12. Feedback

Any feedback or suggestions you provide may be used by K2 without compensation or obligation.

13. Disclaimer of Warranties

The platform and all materials are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind.

14. Limitation of Liability

To the maximum extent permitted by law, K2's total liability to you shall not exceed the greater of (a) the amount you paid us in the three months prior to the claim, or (b) One Hundred U.S. Dollars ($100). K2 is not liable for indirect, consequential, or punitive damages.

15. Indemnification

You agree to indemnify and hold K2 harmless from any claims, losses, or expenses arising from your use of the platform, your uploaded content, or your violation of these Terms.

16. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any other reason.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania. Any disputes shall be resolved exclusively in the state or federal courts located in Bucks County, Pennsylvania.

18. Changes to These Terms

We may update these Terms. Your continued use of the platform after changes are posted constitutes your acceptance of the revised Terms.
